AGREEMENT OVERVIEW
These Terms of Service govern your use of HFF Global's digital marketing services across Karnataka (Bangalore, Mysore, Mangalore). By engaging our services, you agree to these terms.
1. SERVICE AGREEMENT
SERVICE SCOPE
HFF Global provides digital marketing services including but not limited to:
- Search Engine Optimization (SEO) - On-page, off-page, and technical SEO
- Web Development - Website design, development, and maintenance
- Digital Advertising - Google Ads, Facebook Ads, and other paid campaigns
- Social Media Marketing - Content creation and community management
- Brand Strategy - Logo design, brand identity, and positioning
- Analytics & Reporting - Performance tracking and business insights
Custom Proposals: Specific services, deliverables, timelines, and costs are detailed in individual project proposals and service agreements.
2. PAYMENT TERMS
PAYMENT SCHEDULE
- 50% advance payment to commence work
- Monthly payments for ongoing services
- Final payment upon project completion
- Net 15 days payment terms
ACCEPTED METHODS
- Bank transfer (NEFT/RTGS)
- UPI payments
- Business checks
- Online payment gateways
Late Payments: A 2% monthly service charge applies to overdue amounts. Services may be suspended for accounts 30+ days past due.
3. CLIENT RESPONSIBILITIES
CONTENT & MATERIALS
- Provide accurate business information and content
- Ensure all provided materials are legally owned or licensed
- Review and approve content before publication
- Maintain brand guidelines and messaging consistency
ACCESS & COOPERATION
- Provide necessary website and platform access
- Respond promptly to requests for information
- Attend scheduled meetings and calls
- Designate primary contact for project communication
COMPLIANCE
- Ensure business compliance with local Karnataka regulations
- Maintain valid business licenses and permits
- Adhere to industry-specific advertising guidelines
- Comply with data protection and privacy laws

SERVICE LIMITATIONS
- SEO Results: Search rankings depend on many factors. We cannot guarantee specific positions or timeframes.
- Platform Changes: Algorithm updates by Google, Facebook, etc., may affect results beyond our control.
- Third-Party Services: We are not responsible for issues with hosting providers, domain registrars, or other third-party services.
- Force Majeure: Natural disasters, pandemics, or other unforeseeable circumstances may affect service delivery.
5. Intellectual Property
CLIENT OWNS
- Website content and final deliverables
- Business data and customer information
- Brand materials and trademarks
- Custom website code (after final payment)
HFF GLOBAL RETAINS
- Proprietary methodologies and processes
- General knowledge and experience
- Templates and frameworks (non-custom)
- Rights to use work in portfolio/case studies
Portfolio Usage: We may showcase completed work in our portfolio and marketing materials unless confidentiality agreements specify otherwise.
6. TERMINATION
BY EITHER PARTY
- 30-Day Notice: Either party may terminate ongoing services with 30 days written notice
- Project Completion: Fixed-scope projects must be completed or mutually agreed upon for termination
- Payment Obligations: All outstanding payments remain due upon termination
IMMEDIATE TERMINATION
We reserve the right to immediately terminate services for:
- Non-payment of invoices (30+ days overdue)
- Violation of these terms
- Illegal activities or unethical business practices
- Abusive behavior toward our team members
7. Limitation of Liability
HFF Global's total liability for any claim shall not exceed the total amount paid by the client for services in the 12 months preceding the claim.
WE ARE NOT LIABLE FOR:
- Indirect, incidental, or consequential damages
- Lost profits, revenue, or business opportunities
- Data loss or security breaches beyond our control
- Third-party platform changes or restrictions
- Client's failure to follow our recommendations
8. GOVERNING LAW
JURISDICTION
These terms are governed by the laws of Karnataka, India. Any disputes shall be resolved in the courts of Bangalore, Karnataka.
DISPUTE RESOLUTION
- Direct Communication: Attempt to resolve through good-faith discussion
- Mediation: If needed, engage a neutral mediator in Bangalore
- Legal Action: As a last resort, through Karnataka court system
